Global Nutrition, Inc. Affiliate Agreement
You agree to the terms and conditions
in this agreement by joining our affiliate program.
This agreement contains the complete
terms and conditions which you (as the affiliate) agree to be bound
by as a participant in Global Nutrition Inc.'s affiliate program,
which shall apply once your application has been approved.
Non-tolerable
practices
We will reject anyone who uses
marketing techniques that...
- involves Spamming - will result in immediate
termination
- exploit sex to sell
- promote violence or hatred in any way
- are Libellous or defamatory
- infringe or violate copyright or trademarks
of others
- are threatening or abusive
- are in such poor taste that we do not want
the association
- Global Nutrition Inc. is the sole and exclusive
owner of all the rights, title, and interest to the contents,
graphics, look & feel, trademarks, product, and copy rights
to Global Nutrition Inc., (the Product).
- The affiliate will market and advertise the
Product via the internet, and shall develop, operate and maintain
links from it to Global Nutrition Inc.'s site at its sole cost
and expenses.
- The affiliate is granted non-exclusive and
revocable right to market and advertise the Product, and establish
links to Global Nutrition Inc.'s web site in accordance with the
terms in this agreement.
- If, as a result of direct advertising effort
of the Affiliate, a referred customer purchases the Product, the
Affiliate will be paid a sales commission of 10% based on the
selling price of the Product before taxes, shipping and excluding
returns.
- The Affiliate shall be responsible for all
taxes applicable to the sales commission pursuant to any law or
regulation, and report the sales commission to its taxation authorities
as required by law.
- The Affiliate is solely responsbile for all
material and content that appear on its site. The Affiliate shall
not send unsolicited e-mail and shall not send e-mail or any other
communication to a recipient if the recipient has requested that
it discontinue such communication. The Affiliate will not display
on its Web site any material that may be considered to be harassing,
libelous, defamatory, legally obscene or pornographic, threatening,
abusive or hateful.
- Global Nutrition Inc. shall have the right
to monitor the Affiliate's web site at any time and from time
to time to determine its compliance with the terms and conditions
in this agreement.
- Participation in predatory advertising programs
will cause the affiliate's immediate termination. Examples include,
but are not limited to, keyword parsing browser plugins such as
TopText and Surf+, banner replacement technology such as Gator,
browser spawning technology that is not web site dependent.
- The Affiliate shall acknowledge and respect
all proprietary information, trademarks, copyrights that are the
exclusive property of Global Nutrition Inc.
- Customers who purchase the Product through
the program shall be deemed customers of Global Nutrition Inc..
The affiliate shall refer all Product related questions or requests
to Global Nutrition Inc..
- The Affiliate shall not make or give a customer
or potential customer any warranty, representation or other statement
concerning the Product without the written consent of Global Nutrition
Inc..
- Nothing in this agreement shall create a partnership,
joint venture, agency or franchise between the parties. The Affiliate
is not an employee of Global Nutrition Inc..
- Global Nutrition Inc. shall not be liable for
any damages if, for any reason whatsoever, its Web site fails
or is non-operational for any reason whatsoever. In no event shall
Global Nutrition Inc. be liable for special, incidental, consequential
or punitive damages, including, without limitation, any damages
resulting from loss of profits, loss of business or loss of goodwill
arising out of or in connection with this Agreement or the Product,
whether or not such party has been advised of the possibility
of such damages.
- In any event the Affiliate breaches any of
the terms and conditions set forth by this agreement, and does
not remedy within 7 days, it shall automatically forfeit its commissions
receivable then, or receivable in the future. Global Nutrition
Inc. shall have the right to terminate this agreement and shall
retain all other rights and remedies available to it at law or
in equity.
- The Affiliate has the right to terminate this
Agreement at any time with written notice to Global Nutrition
Inc..
- Global Nutrition Inc., in good faith, may modify
any of the terms and conditions in this agreement (including Affiliate
compensation scheduel), at any time, and at its sole discretion.
- The Affiliate acknowledges that it has reviewed
this Agreement in full and agrees to its terms and conditions.
The Affiliate understands that Global Nutrition Inc. may operate
website that are similar to or compete with the Affiliate's website.
The Affiliate has independently evaluated the desirability of
participating in the Program, and is not relying on any representation,
gurantee or statement other than as set forth in this agreement.
